From case to drawdown

How We Lend

One point of contact. One version of the numbers. One timetable.

This is how Royal Financial Group takes a funding requirement from the first conversation to credit decision, facility and drawdown. It is led throughout by the transaction lead who scopes the work, and we stay engaged until the money moves.

  • Written Terms
  • Senior-Led Throughout
  • NDA Available
  • Secured & Unsecured

Each facility produces: written terms, an indicative position, an auditable financial model, a funding readiness review, a proposed structure, a credit paper, a term sheet, a lender pack, facility documentation, drawdown and covenant reporting.

Where every facility starts

A process built around your requirement.

You might need a bridge against a defined exit, working capital against contracts, a refinancing ahead of a covenant test, or growth capital for a business without hard assets. Before anything else, we establish the truth of the business and what the money is for. The structure, the credit decision and the refinancing behind it all follow from that.

We lend, refinance through our partners, and advise on the business that has to carry it. Because we lend as well as arrange, the case is read the way a credit committee reads it. Learn more about Royal Financial Group and the principles behind our approach.

  • One point of contact

The transaction lead who scopes your facility stays on it through to drawdown.

  • One version of the numbers

One model built on primary sources, with every assumption stated, used by every party.

  • Risk written out

Downside cases and key sensitivities are tested, and debt is sized to the low case.

  • One timetable

Lenders, co-lenders, legal and tax advisers all work to a single schedule.

Stage by stage

What happens at each stage, and what you receive.

Stage one of six

Diagnose

It starts with a conversation, not a data room. Send us the company, what it needs, the amount involved and what sits behind it. Our lending team comes back within one business day, and we tell you quickly whether it is a file we can act on. If it is not, we tell you why.

Before the file goes further, we run a conflict check and complete identity, ownership and source-of-funds verification. Scope, timeline, responsibilities and fees are set out in writing. Detailed information changes hands only once those terms, and an NDA if you need one, are in place.

What you receive
  • An indicative position, in days
  • A named transaction lead
  • Written terms and an NDA, where requested

Stage two of six

Funding Readiness

A file that answers the questions before they are asked closes months earlier than one that does not. We review the data room, interview management and verify the site and market ourselves, then build four proofs: commercial proof that the revenue is real, financial proof that the cash flow services the debt, structure proof that the security and ranking work, and execution proof that the team can deliver the plan.

The financial model is built from primary sources, with each assumption sourced and dated, and base, downside and stress cases built in.

What you receive
  • An auditable financial model
  • A funding readiness review
  • Diligence, feasibility or valuation work, as scoped
Stage three of six

Structure

With the evidence in place, we design the facility around the cash flow, the security actually available, the tenor and the currency: senior, mezzanine, unitranche, bridge, asset-backed, trade or a blend. Security is treated as a structuring question from the start, not paperwork for later, and debt is sized to the downside case.

Where the requirement is larger than one provider should hold, we design the club, syndicate or co-lending structure at this stage, so every tranche sits with the party best suited to hold it.

What you receive
  • A proposed structure
  • A term outline
  • A security and ranking plan
Stage four of six

Credit Decision & Approach

Where the facility fits our mandate, RFG takes the credit decision and writes it directly. The same team that tests the business writes the credit paper, so there is no chain of committees in between.

Where it is larger, RFG leads and brings in co-lenders on the same credit work. As the facility seasons, we refinance it with the capital partners best suited to hold it, approached in parallel so terms compete.

What you receive
  • A credit decision
  • A term sheet
  • A lender pack for co-lenders and refinancing partners
Stage five of six

Close

Terms are drafted to the transaction, not a template. We manage documentation, conditions precedent and closing mechanics through to drawdown, and hold any club or syndicate together to signing.

Legal and tax advisers are coordinated around a single timetable, so you run one process instead of several. We stay engaged until the money moves.

What you receive
  • Facility documentation
  • Conditions precedent satisfied
  • Funds drawn

After Drawdown

Drawdown is not the end of the relationship. Where scoped, we track performance and covenants against the plan that was funded, and flag early when a structure no longer fits the business. A refinancing opened well before a covenant test is a very different conversation from one opened after it.

As the business grows, facilities can be extended, refinanced into longer-dated institutional capital or replaced. You keep the model and every deliverable, so the work is updated rather than rebuilt.

What you receive
  • Covenant and performance monitoring, where scoped
  • A reporting pack and KPI set
  • Refinancing and new facilities as needed
How we work

The same standard on every facility.

The same working rules apply to every facility and mandate, whatever its size, sector or jurisdiction.

Written Before It Starts

Scope, timeline, responsibilities and fees are agreed in writing before any work begins.

Senior-Led, Start to Finish

The transaction lead who scopes a facility runs it through to drawdown, with no hand-off after the first meeting.

Evidence Before Opinion

Assumptions, sources and dates are stated in every deliverable, so a third party can retrace any conclusion.

The Structure Follows the Business

We have no single house product, so the structure follows the business. Facilities are written directly, or placed with the provider best suited to hold them.

Confidential as Standard

Client information stays inside the mandate, and is returned or destroyed at close on request.

One Coordinated Process

RFG, co-lenders, syndicate partners, and legal and tax advisers work to a single timetable.

These principles sit within our wider governance framework of conflict checks, AML and KYC procedures and a formal confidentiality framework. See who we are and how we keep lending and advice clean.

What you can expect from us

A straight answer early, clear terms and a facility that fits.

Every facility is built on a file that can stand in front of a credit committee, including our own, with sources, dates and assumptions stated in full.

Behind every facility sits a refinancing line across twelve classes of capital partner, from sovereign wealth funds, pension funds and insurers to banks’ specialty finance desks, private equity, family offices and HNIs. Browse our capabilities or the sectors we lend to.

Frequently asked questions

Questions about how we lend.

You tell us the company, what it needs, the amount involved and what sits behind it. You do not need to share the whole file or give data room access at this stage. Our lending team reviews the requirement and comes back within one business day, including who would lead it.

Six stages: diagnose, funding readiness, structure, credit decision and approach, close, and after drawdown. RFG takes the credit view and writes the facility, or takes the case to the providers best suited to hold it. Terms are agreed in writing, and we stay engaged until the money moves.

The same team that tests the business takes the credit view and writes the facility. An indicative position is typically given in days, and every facility is subject to diligence, credit approval and documentation.

An indicative position comes in days rather than committee cycles. Once diligence is complete, a straightforward bridge or working-capital facility can close in weeks. Structured, syndicated and project facilities typically run several months. The expected timeline is set out in writing at the start.

Where it is scoped, we track performance and covenants against the plan that was funded, and open a refinancing conversation early if the structure no longer fits the business. You keep the model and every deliverable. Confidential material is returned or destroyed on request.

Yes. A capital structure that suited one stage of growth may not suit the next. Refinancing, take-outs into longer-dated institutional capital, extensions and new facilities can each be scoped in writing, in the same way as the original facility.

Yes. Confidentiality is standard: client information stays inside the mandate and is shared only with named parties to the transaction. We sign an NDA before receiving any data room material.
